Job Purpose
The Company Secretary / Head of Legal will serve as the principal advisor to the Board of Directors on governance and compliance matters. This role ensures regulatory compliance across the Group, provides legal advisory on business transactions, oversees litigation and contract management, and supports corporate governance. The position requires strong collaboration across subsidiaries to uphold the Group’s legal and compliance integrity.

Responsibilities

  • Draft, review, and interpret legal documents, including contracts, service-level agreements, and transaction documents.

  • Provide timely legal advice to business units and senior leadership on operational and strategic matters.

  • Conduct legal research and prepare legal opinions on commercial, operational, and regulatory issues.

  • Monitor applicable laws and regulations to ensure full compliance across the Group.

  • Support regulatory filings, license renewals, and all statutory correspondence.

  • Implement and maintain compliance frameworks throughout the organization.

  • Manage litigation cases, liaise with external counsel, and maintain a litigation tracker.

  • Identify, assess, and mitigate legal risks, while supporting internal audits and risk reviews.

  • Collaborate with internal teams, regulators, and external stakeholders to resolve legal and compliance issues.

  • Mentor and support the development of legal staff.

  • Promote a strong legal, governance, and compliance culture within the Group.

Qualifications & Requirements

  • Minimum of 8 years post-call legal experience, with proven senior-level expertise in the financial services sector.

  • Experience working with financial holding companies and subsidiaries is highly desirable.

  • Strong knowledge of financial services regulations, corporate governance, and compliance frameworks.

  • Demonstrated ability to provide strategic legal counsel to senior executives.

  • Excellent communication, negotiation, and analytical skills.
